I don't know why autocorrect put "cooked", I thought I typed composed. But that BoD should get them looked at in and of itself. I'm not entirely sure, but I think they might need to have public meetings on some kind of schedule. At least the non-profit I'm involved with does as part of being a 501(c)3. To do it properly you are supposed to have by-laws, a mission statement, regularly scheduled BoD meeting, regularly scheduled public meetings, record keeping of the above, etc., etc. There are pages and pages of rules you are supposed to comply with.
