They also have to have a Board of Directors which is not cooked of just family members, regular meetings and comply with a bunch of other laws or the IRS will pull their charitable status.

To do it properly you are supposed to have by-laws, a mission statement, regularly scheduled BoD meeting, regularly scheduled public meetings, record keeping of the above, etc., etc. There are pages and pages of rules you are supposed to comply with.
